Board of Directors
- The Board of Directors is composed of a group of up to nine active members. The public assembly conducts voting among active members provided that one third of the directors should be King Saud University for Health Sciences staff.
- The term of the board is three years long, renewable once.
- Upon unjustified absence from the board meetings for three consecutive times, the board may consider the member resigned.
- Shall a director position be vacant, for any reason, the board may select a replacement conditioned by the approval of the General Assembly in its first meeting.
- The Board of Directors selects a Chairman among its members, by secret voting, for three yeas, renewable once. The chairman shall be a King Saud University for Health Sciences staff. The board also selects a deputy chairman, secretary and treasurer.
- The chairman of the Board of Directors may chair the General Assembly, represents the Association to other parties and communicates on it's behalf inside and outside the Kingdom as per applicable regulations.
Meeting of the Board of Directors
The Board of Directors holds an ordinary meeting quarterly which will not be correct unless the majority of its members attend the meeting. Unordinary meetings shall be held upon the request of more than half of the board members, five members of the General Assembly or the Chairman of the Board of Directors – in which case the meeting discusses only the topics it was held for.
The Board of Directors' resolutions shall be issued by the voting majority of attendees. Shall the votes be equal; the chairman has the casting vote. |
